Generational Transition in Family Businesses: Governance, Holding Companies and Business Continuity

Generational transition is not simply a transfer of ownership: it is a process that must coordinate business continuity, transfer of shareholdings, family roles, governance and financial sustainability. CMO&A assists entrepreneurs and families in planning and implementing this transition.

Early planning makes it possible to assess who will take on management and governance responsibilities, how ownership should be organised and which corporate, wealth and tax instruments are most consistent with the objectives of the family and the business.

Governance, ownership and family roles

We assist with:
  • analysis of the corporate, ownership and family structure;
  • definition of roles between generations, shareholders and directors;
  • review of governance arrangements, articles of association and shareholders’ agreements;
  • establishment or reorganisation of family holding companies;
  • definition of rules governing the entry, involvement and exit of family members from the business;
  • valuation of businesses and shareholdings;
  • financial planning relating to the generational transition.
A family holding company may be an effective tool for concentrating ownership, organising governance and regulating relationships between generations, but it should form part of an overall plan rather than be treated as a standard solution.

Family agreements, gifts and transfers of ownership

The transfer of a business or shareholdings may be implemented through different instruments, including family agreements, gifts, inheritances and corporate transfers, after assessing their civil-law and tax implications.
Italian inheritance and gift tax legislation provides, subject to specific conditions, an exemption for certain transfers of businesses, business units and shareholdings to a spouse or descendants, including transfers carried out through a family agreement. Depending on the type of asset transferred, specific continuity or control requirements may apply for at least five years.
The applicable conditions must therefore be assessed on a case-by-case basis and coordinated with the corporate structure and the overall objectives of the generational transition.

Extraordinary transactions and business continuity

Where appropriate, the process may involve contributions, demergers, mergers, reorganisations of shareholdings or other extraordinary transactions, aimed at separating activities, redefining ownership structures or preparing the company for the generational transfer.
The assessment should not be limited to tax considerations: financial sustainability, investment capacity and the coherence of the future governance structure are equally important.

The service is integrated, where appropriate, with the Firm’s expertise in Private & Family Office, Corporate Finance and M&A, Corporate Advisory and Tax Advisory and Financial Statements.
