Our role is not limited to obtaining innovative start-up status. We help founders establish a company whose ownership structure, financial resources and governance arrangements are suitable for both the initial project and its subsequent development.
 
Can your project qualify as an innovative start-up?
 
Before incorporating the company, it is important to assess whether the project meets the statutory requirements and which corporate structure is most appropriate.
We assist with eligibility assessment, company formation, shareholdings, governance, articles of association and relationships between founders, as well as with the assessment of innovation requirements relating to R&D, qualified personnel, patents and registered software.
 
Business planning, funding and investors
 
A start-up needs to understand how much capital it requires, how long its available resources can support development and when additional funding may be needed.
We assist with business plans, budgets and financial forecasts and with structuring investor entry through capital increases, share premiums, convertible financing and other appropriate transactions.
Our advice also covers the tax implications of investments, cap table structure, founder dilution and governance arrangements following the admission of new shareholders.
 
From innovative start-up to innovative SME and growth
 
Innovative start-up status should be planned beyond the incorporation stage. Current Italian legislation provides specific conditions for continued registration after the third year and additional opportunities during the scale-up phase. A qualifying company may also continue its development as an innovative SME.
We support companies in monitoring these requirements, financial planning, capital transactions and subsequent fundraising and growth stages.
 
Bologna and Emilia-Romagna: an innovation ecosystem
 
Bologna provides an attractive environment for technology and innovation projects. The DAMA Technopole hosts major European research infrastructures including the Leonardo supercomputer and the European AI Factory, making Bologna an important European hub for high-performance computing, Big Data and artificial intelligence.
Emilia-Romagna also supports innovative businesses through regional programmes, incubators, accelerators and funding initiatives, while the EmiliaRomagnaStartUp ecosystem provides services for growth, investor access and internationalisation.
 
CMO&A does not provide grant-application services, but can assess the financial and tax implications of available opportunities and coordinate with specialised advisers where appropriate.
 
Foreign founders and international investors
 
We assist foreign founders, investors and international groups seeking to establish, develop or invest in an innovative business in Italy, including company formation, shareholder arrangements, taxation, governance and investor entry.
Subject to specific requirements, EU or EEA companies with a production site or branch in Italy may also qualify for Italian innovative start-up status.
